Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") are a binding agreement between you and Agile OCM Corp.("LaunchMap," "we," "our," or "us"), the operator of the LaunchMap platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

These Terms apply to all visitors and users. By using the Service, you represent that you are at least 18 years old and, if you use the Service on behalf of an organization, that you have the authority to bind that organization to these Terms.

2. Description of Service

LaunchMap is an AI-powered organizational change management platform that helps Change Managers create, manage, and track change initiatives. The Service includes features such as:

• Stakeholder Impact Assessment (SIA) tools
• AI-powered activity recommendations and plan generation
• Visual timeline planning with a drag-and-drop interface
• Portfolio view for organization-wide visibility
• OCM methodology support
• Export capabilities (PDF, PowerPoint, JSON)

We may modify, add, or remove features over time. AI-generated output is provided to assist your planning and may be inaccurate or incomplete; you are responsible for reviewing it before relying on it.

3. User Accounts

To access certain features you must register for an account. Authentication is provided through our identity provider. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account information up to date
• Keep your login credentials secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized access

4. Subscriptions and Payment

LaunchMap offers a free tier and paid subscription plans (such as Pro and Teams). Paid plans are billed through our payment processor, Stripe. By subscribing to a paid plan:

• You authorize us and our payment processor to charge your payment method the applicable subscription fee on a recurring basis.
• Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
• Team plans are billed per seat and require a minimum number of seats as shown at checkout.
• Prices and plan features may change; we will give you reasonable advance notice of price increases, which take effect at your next renewal.
• Applicable taxes may be added to the fees.

Cancellation. You may cancel at any time from your billing settings. When you cancel, your subscription remains active until the end of the current billing period and then does not renew; you retain paid access until that period ends.

No refunds. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or unused features. Cancelling stops future charges but does not refund amounts already paid for the current period.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe the intellectual property or privacy rights of others
• Upload malicious code or attempt to compromise, probe, or disrupt the Service
• Attempt to gain unauthorized access to any system, data, or account
• Share your account credentials with unauthorized users
• Resell, sublicense, or redistribute the Service without our authorization
• Use the AI features to generate unlawful, harmful, or abusive content, or to circumvent our safety controls
• Interfere with or place an unreasonable load on the Service or its infrastructure

6. Intellectual Property

The Service, including its software, design, and content (excluding your content), is owned by LaunchMap and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

You retain ownership of the content you create or upload. You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display your content, and to share it with the sub-processors described in our Privacy Policy, solely to provide and improve the Service for you. You are responsible for ensuring you have the rights to the content you upload.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Our use of cookies is described in our Cookie Policy. Enterprise customers may enter into a separate Data Processing Agreement.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LAUNCHMAP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, unless otherwise required by applicable law.

12. Changes to Terms

We may modify these Terms from time to time. We will notify users of material changes via email or through the Service and update the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
